Bottom line
The sleeper story is that Q2's 'beat' on adjusted EBITDA is manufactured: strip out the $24M tariff refund that was received AFTER quarter-end and the core business ran roughly negative $13M, a sharp reversal from Q1's clean $9.1M positive print. The obvious headline, record production and a second utility-scale offtake, is real but masks the binding constraint: financing, not demand, is what's actually gating this story, as evidenced by a slipped target date on the 'comprehensive' debt solution and a one-quarter slip in the G2 cell production timeline that management didn't frame as a miss. CEO Dan Barcelo's own words capture the risk best: 'things take longer than expected... but at this point today, we're extremely confident', which is the same confident tone paired with a slipping calendar that preceded the Q1-to-Q2 delay. My view changes if the comprehensive debt financing actually closes with a named counterparty and firm date next quarter, and if Q3 adjusted EBITDA is clean of one-time items and still positive on an organic basis.

The 30-second version

  • Adjusted EBITDA is a mirage: strip out the one-time tariff refund and the core business went negative
  • G2 Austin cell production just slipped a full quarter, and nobody called it a miss
  • The 'comprehensive financing' has now missed its second-quarter target, and the CEO admits it
