Bottom line
The real story isn't the solid execution, it's the S-4 bombshell showing $4B more EBITDA than guided which means management has been sandbagging expectations while federal hubs slip and FPL large load deals remain unsigned. Management claims to be 'ahead of schedule' everywhere but can't close a single hyperscaler deal at FPL despite 12 GW in 'advanced discussions' and their federal hub timeline just went from '2-3 months' to 'continuing to progress.' The binding constraint is execution bandwidth: they're trying to do Dominion integration planning, federal hub negotiations, FPL large load sales, and maintain their development engine simultaneously. Mike Dunne admitting the federal projects would have 'essentially infinite' returns reveals how desperate they are for fee-based income to offset development capital needs. My view changes if they actually sign an FPL large load deal in Q3, because 21 GW of 'interest' means nothing without a single signature.

The 30-second version

  • The S-4 filing reveals Energy Resources EBITDA $4B higher than December guidance, driven by better-than-expected renewables/storage returns
  • Federal hub definitive agreements slipping from '2-3 months' to 'continuing to progress'
  • FPL's 21 GW of large load 'interest' hasn't converted to a single signed deal yet
